The collapse of energy giant Enron Corp. in 2002 left behind it a long trail of investors with worthless stocks and employees with zero life savings. But perhaps one good thing that has come out of the scandal is a better appreciation of the importance of good corporate governance.

As a reaction to one of the biggest bankruptcies in US history, a string of other corporate failures, and the realization that businesses now operate in a changed market, there was a global move to promote good corporate governance. Regulators from around the world and a number of international institutions and standard-setting organizations came together to understand and harmonize the varying rules and regulations prevailing in many markets. This search for universal corporate governance principles converged upon the Principles of Corporate Governance developed by the Organization for Economic Cooperation and Development (OECD).

Along with the OECD’s “Principles”, one of the best ways to learn about the intricacies of corporate governance is by looking at the actual experiences of companies. With this in mind, the Financial Executives Institute of the Philippines (FINEX) and the P&A Foundation collaborated to produce the book -The Power to Govern.

Edited by P&A managing partner and CEO Greg Navarro, who is also the FINEX Vice-president for Good Governance and Ethics, the book contains the complete text of the OECD Principles of Corporate Governance – reprinted with OECD permission – and six local case studies.

“When I first suggested the idea for this project,” explains Navarro, “Enron was the most studied, most written-about corporate scandal. There was no local case study that, like the Enron story, could clearly illustrate the critical nature of good corporate governance.”

The members of the FINEX Committee on Good Governance rallied behind the plan and soon, FINEX members and Asian Institute of Management professors, students and research fellows volunteered to be case writers. They wrote about how the following organizations fared in their efforts at corporate governance: The Bank of the Philippine Islands; BW Resources Corporation; Central Azucarera Don Pedro; The Holy Family Parish; Polytechnic Savings Bank, Inc.; and Victorias Milling Company, Inc.

Although not all these organizations represent corporate governance success stories, Navarro believes there are valuable lessons to be gleaned from all: “The case studies were written in the spirit of sharing. There was absolutely no intention to criticize or malign anyone or anybody. Our intention is to enhance the understanding of theory and help spur an exchange of ideas about good governance – what it means, what it demands of leaders, and how it can be realized.”
